4. SCOPE OF SERVICE, CHARGES AND REFUND.

 

The services are provided as two models- DWY (Done with you) and just the Strategy. The services as a whole and in part are subject to individual fees based on the value they offer and can be changed without prior notice.

Existing clients will be charged as agreed during the start of the service and the revised fees shall not be applicable.

The individual charges are as said on the webpages of shrutipawar.in and during checkout with respective timeframes of completion. For tailored services without afore mentioned fees, the charges depend on bespoke services availed by clients.

All services are strictly time bound, unless mutually agreed upon in writing.

DWY services are offered in tandem with the client/ client’s team in case of a non-individual business. The strategy, research and process are provided by Shruti Pawar and the client’s end is required to implement the same. shrutipawar.in/ Shruti Pawar is not liable and responsible for errors, non-adherence to processes on the client’s end.

The services can also be availed as just the strategy, with details as stated in the concerned webpages of the service.

All strategy documents will be emailed as PDFs in the suggested working days’ time for each service during the checkout.

Rescheduling of calls pose no extra cost or refund.

5. CANCELLATIONS AND REFUNDS. SERVICE POLICIES.

Cancellation of consultation calls and services are subject to only partial refunds.

Cancellations of services are subject to only partial refunds.​

All services are to be scheduled at least 2-5 days in advance. Cancellations are to be made at least before a minimum of 5 days.​

Cancellations made within the said time frame will be eligible for partial refunds.​

Post cancellation, refunds will require 7 business days to be processed.​

In unwarranted circumstances due to natural causes and act of God, where the timeframe cannot be adhered to, only specific situations will be eligible for partial refunds, which needs to be specified in written.

6. CONTENT OWNERSHIP.

 Any and all intellectual property rights, content and processes associated with the platform/ website and its related network are the sole and exclusive property of shrutipawar.in and its affiliates.

Except when discretely authorised by these Terms of Use, you may not copy, reproduce, modify, amend, sell, transmit, distribute or create derivatives from the content of the Intellectual Property of the platform in any way, for any reason whatsoever. Unless explicitly authorized to do the same. Non-adherence will invite legal implications.

During the agreement of this term, and during consultation services, tailored business processes will be revealed and suggested to the client. Such information is categorized as ‘confidential’.

Both the parties are bound to restrain from distributing any related information of such kind without prior agreement and authorization, in whatever form and mode of communication be it physical, verbal, audio or digital.

The client is to unconditionally agree that all information will be held in strictest confidence by the client and that such “Confidential Information” will not be copied, reproduced or altered, unless explicitly agreed upon by both the parties.

In case of a business entity during availing the services, the client is asked to direct and inform its employees, officers and related associates to whom such processes are disclosed to be informed of and are required to agree to be bound by the restrictions of the confidential information disclosure policy.

 You agree that shrutipawar.in/ Shruti Pawar will not be held responsible in case of failure to do so from the client’s end.

shrutipawar.in/ Shruti Pawar in no way will support, agree or be a party to breach of confidentiality policies.

shrutipawar.in/ Shruti Pawar is to be concerned with only information garnered during the term of consultations.

The above policies also hold true once the information belonging to the client has been distributed on digital/ open platforms where the original information was developed for the same which includes marketing and communications assets, campaigns and assets alike. In no way the tailored process shall be distributed or revealed without a written consent.

All required disclosure is to be agreed upon in writing by both the parties.

Breach of confidential policies that involves damage to shrutipawar.in/ Shruti Pawar’s brand reputation calls for Injunctive relief along with legal repercussions.

The client acknowledges and agrees to these policies that are essential to protect shrutipawar.in/ Shruti Pawar’s brand reputation.

9. LIMITATION OF LIABILITY.

 

Regardless of the cause or theory of liability, even if advised of the possibility of such damages, neither party shall be liable for any incidental, indirect, consequential, financial, exemplary, or special damages arising out of or relating to this Agreement.

All implementation of the processes will be made and complete post client’s written authorization.

The client and associated parties (officers, directors, agencies and associations) will be solely responsible for agreeing and implementation of the business processes during the consultation calls.

10. EXHIBITION OF RESULTS AND TESTIMONIALS.

​

By entering into this agreement, the client grants shrutipawar.in the right to publicize and showcase the client's success resulting from the processes offered during the service.

 

shrutipawar.in/ Shruti Pawar is not required to obtain prior permission from the client to publicly display their success, including the client's improvements and business growth resulting from the offered services.

 

Except as outlined in the previous sentence or otherwise in this Agreement, shrutipawar.in/ Shruti Pawar will not use any of the client's proprietary materials (such as logo, trademarks, copyrights etc., without the client's consent.

 

If the client has concerns about displaying their credentials and the resulting success as part of shrutipawar.in/ Shruti Pawar’s public portfolio, a written notification must be provided. shrutipawar.in/ Shruti Pawar will then review the request and may choose to comply after considering various factors.

11. NO GUARANTEE.

 

Previous testimonials/ results of clients are shared for marketing purpose only. They should not be considered as benchmarks for revenue/ business generated by prospective clients. The processes are always optimized for outmost efficiency; however, the extent of results depends on multiple variables/ factors.

The testimonials published do not imply to replication of the same/ similar results.

12. INDEMNIFICATION.

 

You agree to have read, understood and indemnify and hold harmless shrutipawar.in/ Shruti Pawar, including its affiliates, their respective officers, directors, employees, agents, and successors from any and all claims, demands, liabilities, costs, and expenses. This includes, but is not limited to, reasonable attorneys' fees and other legal costs, arising from your breach of any provision of these terms.

13. GOVERNING LAW.

 

This agreement shall be governed exclusively, construed, interpreted, and enforced in accordance with the laws of India and Karnataka in specific and in case of any conflict of laws and disputes of a foreign country and the laws of India, the Indian law will prevail.

 

 

14. WAIVER.

 

The failure of either party, the client and shrutipawar.in/ Shruti Pawar to promptly enforce and abide by the agreement and its terms, or seeking remedy for the breach of any provision of these terms shall not be deemed to have waived. No term or provision shall be deemed waived, and no breach hereof shall be deemed consented, to, unless such waiver of or consent to any other term or provision.

 

 

15. CLASS ACTION WAIVER.

 

The Client agrees to resolve any claims individually and not as part of any class, consolidated, or representative proceeding. Any claims arising from or related to this Agreement must be brought in an individual capacity only. Additionally, the Client agrees not to participate in any consolidated, class, or representative proceedings initiated by any third party under this Agreement. Should any court or arbitrator find the class action waiver in this clause to be void or unenforceable, or if a claim can proceed on a class basis, such claims must be adjudicated exclusively within the jurisdiction of courts in Karnataka.

 

 

16. TERMINATION.

 

This agreement may be terminated at any time in the following circumstances:

1. Unprofessional conduct: In case of the client resorting to unprofessional conduct during consultation calls or in person, Shruti Pawar holds all the rights to terminate the contract/ agreement any moment without prior notice. Shruti Pawar will not be obligated to refund the fees. It may or may not be done at her sole discretion. Unprofessional conduct includes actions of profanity, theft of ideas and material, or any other act that maybe labelled as unprofessional conduct in professional terms.

2. Confidentiality policy breach: In case of confidentiality breach by either party, the agreement can be terminated at a week’s notice within which the breach should be rectified. In failure of which the termination will affect with immediate notice.

3. Termination for professional ethics/ convenience: Shruti Pawar reserves the right to terminate the agreement at her own professional discretion with the reason appropriately stated in a week’s notice. Under such circumstances, Shruti Pawar shall not be obligated to the client, including refunds.

4. Upon termination, the client is required to adhere to privacy policies and T&C.

5. Post termination, both the parties continue to be bound by privacy policies, confidentiality policies and terms and conditions of this present agreement.

6. In case of damage to the brand’s reputation, Shruti Pawar reserves the right to seek legal protection.

7. After the receipt of notice of termination any contractual relationship between Shruti Pawar/ shrutipawar.in and the client will cease to exist.

 

 

17. OVERRIDING CLAUSE.

 

In the event of any contradiction between this agreement and any other policies, agreements, contracts, or terms of shrutipawar.in/ Shruti Pawar, this present agreement will take precedence and override the conflicting provisions.
